Supporting detail for the Brehob Year 1 Proposal. Covers Year 2 pricing trajectory, future phase roadmap, discovery questions for the Phase 1 kickoff, and full terms and conditions.
Year 2 Pricing & Renewal
The Year 1 proposal applies first-customer discount (30% off Phase 1 setup, 30% off all monthly recurring) reflecting Brehob's role as QuoteAI's lighthouse customer. Year 2 pricing and renewal terms are not committed in advance; they are negotiated mutually 60+ days prior to the end of the Initial Term.
Renewal mechanics
- No specific Year 2 rates are committed in advance. Renewal terms — including pricing, scope, and contract length — are negotiated mutually 60+ days prior to the end of the Initial Term.
- Scope-driven pricing changes are separate. If Brehob adds users, expands corpus, adds integrations, or adds new phases during the Initial Term, those are priced separately at the time of the change.
- Renewal notice: Either party may decline renewal with 60 days written notice prior to the renewal date.
Future Phases — Year 2+ Roadmap
Phases beyond Phase 2 are intentionally not priced in this proposal. They are presented for visibility only; actual scope and pricing for each phase is a separate engagement set by Brehob priority and operational learning post-pilot.
Phase 3 — Inventory & Pricing Integration
Bidirectional integration with Brehob's inventory and pricing systems. Surfaces real-time inventory levels and current pricing inside the quote-building flow; pushes completed quotes back into the system of record. Substantial engineering scope; price depends entirely on the ERP / inventory system Brehob uses and the integration pattern available.
Indicative effort: $25,000-$60,000 setup + incremental monthly. Set by Phase 2 ERP Discovery output if Phase 2 Option 2B is selected.
Phase 4 — Crane & Motor Quoting
Extension of QuoteAI to Brehob's crane and motor divisions. Includes corpus ingestion for those divisions, division-specific templates, vocabulary, and pricing logic. Could be done as one combined engagement or split per division.
Indicative effort: $15,000-$30,000 setup per division + incremental monthly tied to user count and corpus expansion.
Phase 5+ — Open Backlog (Brehob priority-driven)
Future expansion items mentioned in pitch or surfaced in Phase 1/2:
- Equipment Catalog Management — Brehob-internal and vendor-facing equipment database with maintained specs, pricing, and version control. Raised in the May 12 demo as a pain point — Brehob and their vendors lack a system of record today.
- Datasheet auto-attach — automatically append relevant product datasheets to quotes
- Lead intelligence — AI-assisted lead scoring, prioritization, follow-up
- Dynamics CRM integration (if not bundled with Phase 3)
- DOCX export — alongside existing PDF export
- Verbatim drift detection — flag when generated descriptions deviate from corpus phrasing
- Form-as-boilerplate — deterministic template skeleton with AI-filled slots
- Additional division/branch ingestion — separate corpora for other Brehob business units
Each of these is a future pricing conversation. Brehob priority determines sequencing.
Discovery Questions for Brehob
The following questions need answers during Phase 1 kickoff to scope the work accurately. Many of these can be answered in writing or in a discovery call early in the engagement; some require Brehob IT involvement.
Business systems & integrations
- ERP system: Which ERP do you use? (Brand, version.) Is it on-prem or cloud-hosted?
- ERP access: Does it have a documented REST/GraphQL API? Or do we need to go via database read-replica, CSV exports, or an on-prem agent?
- ERP data: What data lives in the ERP that we'd want for the dashboard? (Won/lost status, revenue actuals, customer history, salesperson assignments?)
- CRM: Do you use a CRM (Salesforce, Dynamics, HubSpot, other)? What lives there vs. ERP?
- Inventory system: Same questions — system, access pattern, what data?
- Quote-history archive: Where do today's quotes live after they're won/lost? Is there a system of record, or is it scattered (email, network drive, ERP attachments)?
- Email + calendar: Are salespeople on Office 365 / Outlook? (Affects SSO + notification design.)
- Document storage: Where do datasheets, specs, and product literature live today? (Affects future datasheet auto-attach feature.)
Workflow & people
- Quote review workflow: Today, who reviews a quote before it goes to the customer? How is it routed? Is there an approval threshold (e.g., >$50K needs VP sign-off)?
- Sales org: How many salespeople will use QuoteAI in Year 1? Year 2?
- Divisions: Air, motors, crane — same workflow per division, or different? Different sales teams?
- Pricing authority: Who has final say on pricing? Does it vary by deal size?
Structured intake question set (Phase 1, line item 1.5)
- Question-driven intake: Should the structured Q&A intake replace spreadsheet upload, or complement it as a parallel intake path?
- Question set: Roughly how many questions, and is the set the same for every quote, or does it branch by system type (rotary / dryer / vacuum / medical)?
Infrastructure & ops
- AWS account: Do you have a preferred AWS account structure (Brehob owns it vs. Hannah Labs owns it)?
- IT contact: Who at Brehob will be the technical point of contact for IT-side work (Entra federation, DNS, ERP integration)?
- Subdomain: Do you want QuoteAI at a Brehob-owned subdomain (e.g.,
quotes.brehob.com) or a Hannah Labs-hosted one (e.g.,brehob.quoteai.hannahlabs.ai)? - Data residency: Any requirement that data stay in a specific region / not leave US?
Commercial
- Procurement / contracting: What's the procurement process? PO, MSA, both?
- Payment terms: Net 30? Net 60? Annual upfront discount? Monthly billing?
Full Terms & Conditions
1. Term & Renewal
This agreement begins on the contract signing date ("Effective Date") and continues for an initial term of twelve (12) months ("Initial Term"). Unless either party provides written notice of non-renewal at least sixty (60) days prior to the end of the Initial Term, this agreement will automatically renew. Renewal terms — including pricing, scope, and contract length — are negotiated mutually 60+ days prior to the end of the Initial Term. No specific Year 2 rates are committed in advance.
2. Pricing
Year 1 pricing reflects first-customer discount and is fixed for the duration of the Initial Term. Scope-driven pricing changes (additional users, expanded corpus, new phases, integrations) are negotiated separately at the time of the change.
3. Payment Schedule
- Phase 1 Setup is invoiced upon contract signing, payable net 30.
- Phase 1 Monthly billing begins upon Phase 1 production deployment and is invoiced monthly, payable net 30.
- Phase 2 Setup is invoiced upon Phase 2 written activation and is payable net 30.
- Phase 2 Monthly billing begins upon Phase 2 production deployment, added to the monthly invoice.
4. Cancellation
Either party may terminate this agreement with sixty (60) days written notice. Pre-paid setup fees are non-refundable. Monthly billing is prorated to the termination effective date. Brehob retains read-only access to its data for ninety (90) days following termination for export purposes.
5. Data Ownership
Brehob retains full ownership of all data ingested into, stored within, or generated by QuoteAI. Hannah Labs retains ownership of the QuoteAI platform code, models, prompts, and infrastructure configuration. Brehob may export its data at any time during the contract term and within ninety (90) days of termination.
6. Confidentiality
Each party agrees to maintain confidentiality of the other's non-public business information shared in connection with this agreement. Standard NDA terms apply.
7. Service Levels
Phase 1 and Phase 2 monthly recurring includes:
- Target uptime: 99.5% measured monthly (excluding scheduled maintenance and force majeure)
- Support response: best-effort during business hours (M-F 9-5 ET), with 8 hours/month of dedicated support time included in the monthly fee
- Critical incident response: same-business-day acknowledgment
- Scheduled maintenance: communicated 48 hours in advance where possible
8. Limitation of Liability
Hannah Labs LLC's total liability under this agreement is capped at the total fees paid by Brehob in the twelve months preceding the claim. Hannah Labs is not liable for indirect, incidental, or consequential damages, including but not limited to lost profits, lost data, or business interruption.
9. Governing Law
This agreement is governed by the laws of the State of North Carolina (Hannah Labs LLC's state of incorporation), without regard to conflict of law principles.
10. Future Phase Activation
Phase 2 activation requires written confirmation from Brehob (email is acceptable). No separate contract is required to activate Phase 2 under the terms of this agreement. Phases 3, 4, 5+ require separate engagements with their own pricing and scope.
